Lahore: In a decisive move, the adjudication officer has concluded proceedings against MIS. Fishkatech (Private) Limited for failing to adhere to regulatory requirements pertaining to the timely submission of audited financial statements. The order, issued on May 6, 2024, marks the culmination of a series of adjudication proceedings under Sections 233 and 479 of the Companies Act, 2017.
The company, MIS. Fishkatech (Private) Limited, was initially served with a Show Cause Notice (SCN) on March 20, 2024, following its failure to file its audited financial statements for the year 2023 with the Registrar within the stipulated timeline. This contravention rendered the company liable to a penalty as per the provisions of the Act. Despite multiple opportunities for a hearing, the company’s representatives failed to appear at the scheduled dates until a final opportunity was given, resulting in the representatives, Mr. Amir Niaz and Mr. Mian Affan Asad Taj, presenting their case on April 18, 2024.
According to information available from the Pakistan Stock Exchange (PSX), the company’s representatives argued that the delay was unintentional and attributed to the restructuring of the finance and accounts department. They assured compliance with the filing requirements and confirmed that the financial statements were eventually filed with the Registrar.
The adjudication officer noted that the company was in default of Section 233 (1) of the Act, highlighting the importance of timely and accurate financial disclosures. The delay raised concerns about the company’s management systems and internal controls. However, during the proceedings, it was verified that the company had complied with the filing requirements, leading to a decision to condone the penalty but issue a warning for future adherence to the law.
The officer emphasized that directors must exercise due care in business decisions, ensuring compliance with legal requirements to maintain transparency and reliability in financial reporting.
