The Scheme of Arrangement involves Nova Frontiers Limited, Gatron (Industries) Limited, and Ghani & Tayub (Private) Limited. It has been set forth in accordance with Section 279 of the Companies Act, 2017. The Scheme, approved by the Board of Directors on May 2, 2026, will be subject to modifications or conditions required by the Honourable High Court of Balochistan at Quetta. The scheme’s final approval is contingent upon the court’s sanction.
In preparation for the EOGM, Gatron (Industries) Limited has announced the closure of its Share Transfer Books from June 3 to June 10, 2026. Share transfers submitted by June 2, 2026, will be considered timely for entitlement purposes. The company offers both physical and video conferencing attendance for shareholders, who need to register at least 48 hours before the meeting.
According to information available from the Pakistan Stock Exchange (PSX), Gatron (Industries) Limited has implemented measures to facilitate electronic voting, as mandated by the Securities and Exchange Commission of Pakistan (SECP). The voting will be available from June 6 to June 9, 2026, allowing shareholders to exercise their voting rights on the special business agenda electronically.
