Gatron (Industries) Limited Announces Shareholding Restructure

Karachi: Gatron (Industries) Limited has announced a significant restructuring of its shareholding structure, in accordance with Section 96 and 131 of the Securities Act, 2015, and Rule 5.6.1.(a)(ii) of the Pakistan Stock Exchange Rule Book. The company's Board of Directors has resolved to authorize the cancellation of a 2.98% shareholding, equivalent to 3,240,774 shares, currently held by Gani and Tayub (Private) Limited (G and T). This decision follows a previously approved scheme of arrangement involving Nova Frontiers Limited and G and T, initially approved on February 10, 2025.

As part of the restructuring, Gatron (Industries) Limited plans to issue new shares of the company directly to the shareholders of G and T. The board's resolution, dated April 21, 2025, emphasizes that the proposed scheme will not impact the business operations or assets of the company.
