Karachi: In a significant corporate development, Gatron (Industries) Limited announced the withdrawal of a proposed Scheme of Arrangement with Nova Frontiers Limited (NFL) and Ghani & Tayub (Private) Limited (G&T). The decision, which was authorized by the Board of Directors of Gatron during a meeting on February 10, 2025, was disclosed on August 13, 2025.

The initial proposal for the Scheme was contingent upon approvals from both the Honorable High Court of Balochistan at Quetta and the shareholders of the involved companies. However, recent developments prompted NFL and G&T to rescind their participation, leading Gatron to follow suit via a circular resolution. The company's involvement in the Scheme was primarily administrative, linked to the transaction between the corporate shareholders and their respective stakeholders.

According to information available from the Pakistan Stock Exchange (PSX), the withdrawal of the Scheme will not affect Gatron's shareholders, business operations, or company assets. The concerned parties are now expected to initiate the process of retracting the legal proceedings previously filed with the High Court.

The termination of the Closed Period, a regulatory timeframe during which certain trading restrictions are in place, was also announced with the dissemination of this information. Gatron’s decision underscores the dynamic nature of corporate agreements and the potential for strategic pivots in response to evolving circumstances.
