Lahore: Ghani Chemical Industries Limited has disclosed a series of share transactions involving its directors, executives, and substantial shareholders as part of a demerger/merger scheme sanctioned by the Lahore High Court. The transactions were executed under the Pakistan Stock Exchange (PSX) Regulation No. 5.6.4, with a focus on transparency and compliance.

According to the information disclosed by the company, a significant transaction involved Ghani ChemWorld Limited, a substantial shareholder, which received a fresh allotment of 70,000,000 shares, representing 12.27% of the total shareholding. This transaction occurred on April 17, 2025.

Further transactions were executed on April 18, 2025, involving several key figures within the company. Masroor Ahmad Khan, a director of Ghani Chemical Industries Limited, was allotted 4,399 shares, bringing his cumulative shareholding to 1,797,833 shares, accounting for 0.31% of the company's total shares. Atique Ahmad Khan, another director, received an identical allotment, resulting in the same cumulative shareholding and percentage.

Hafiz Farooq Ahmad, the Chief Executive Officer and director, was also allotted 4,399 shares, increasing his cumulative shareholding to 1,820,935 shares, representing 0.31% of the total shares. In addition, Mrs. Rabia Atique, a director, was allotted 4,399 shares, bringing her cumulative shareholding to 1,536,727 shares, which constitutes 0.26% of the company's total shares.

The disclosure further details that Mrs. Ayesha Masroor, the spouse of a director, and Mrs. Saira Farooq, also a director's spouse, each received 4,399 shares, resulting in a cumulative shareholding of 1,536,257 shares each, representing 0.26% of the company's total shares.

According to information available from the Pakistan Stock Exchange (PSX), these transactions were carried out in the form of Central Depository Company (CDC) fresh allotments. Ghani Chemical Industries Limited has confirmed that these transactions will be reviewed in an upcoming board meeting to ensure compliance with PSX regulations, specifically under clause No. 5.6.1.(d).

The designated market category for these transactions remains consistent with the company's current position on the Pakistan Stock Exchange.
