Lahore: Ghani Chemical Industries Limited (GCIL) has announced that its 10th Annual General Meeting (AGM) will take place on October 28, 2025, at 10:30 AM at the company’s registered office in Lahore. The agenda includes reviewing the company’s annual audited accounts, appointing auditors for the upcoming year, electing directors, and discussing potential investment increases in associated companies.
According to the notice, the AGM will address ordinary business matters, such as the approval of the Annual Audited Accounts for the year ending June 30, 2025, and the reappointment of the retiring auditors, M/S ShineWing Hameed Chaudhri & Co., Chartered Accountants. The meeting will also involve the election of seven directors for a three-year term, with candidates including Mr. Masroor Ahmad Khan, Mr. Hafiz Imran Lateef, and Mr. Sheikh Muhammad Saleem Ahsan.
Special business proposals will be considered, including increasing the investment in Ghani Global Holdings Limited from Rs. 200 million to Rs. 300 million. The shareholders had previously approved the Rs. 200 million investment during the AGM on October 26, 2024. Additionally, the board has recommended enhancing the investment in Ghani Global Glass Limited from Rs. 1,300 million to Rs. 1,500 million and in Ghani ChemWorld Limited from Rs. 1,500 million to Rs. 2,000 million.
GCIL will also propose a cross-corporate guarantee of Rs. 1,000 million for Ghani ChemWorld Limited to facilitate financing needs and consider disinvesting 50,000 ordinary shares of Ghani ChemWorld Limited. These resolutions will require shareholder approval.
According to information available from the Pakistan Stock Exchange (PSX), GCIL’s financial performance has shown significant improvement. The company reported an operating profit of Rs. 3,091.724 million for the year 2025, up from Rs. 1,673.850 million in 2024, indicating a very large or significant move. The net profit after tax also increased to Rs. 2,016.195 million, a notable rise from Rs. 785.807 million in the previous year.
The AGM will facilitate member participation through electronic means, as advised by the Securities and Exchange Commission of Pakistan (SECP). Members wishing to attend via video link must register by October 21, 2025. The company has emphasized adherence to the guidelines outlined in Circular No. 1 dated January 26, 2000, for CDC Account Holders attending the meeting.
GCIL holds a dominant position in the designated market category, with 61.34% of shares held by associated companies. The company’s financial highlights reveal a robust growth trajectory, supported by strategic investments and operational efficiencies.
