Ghani ChemWorld Limited Announces First Annual General Meeting for October 28

Lahore: Ghani ChemWorld Limited has officially announced its First Annual General Meeting (AGM), scheduled to take place on October 28, 2025, at 11:30 AM at the registered office located at 10-N, Model Town Extension, Lahore. The meeting will address both ordinary and special business matters as outlined in the company’s notice.

The ordinary business on the agenda includes the reception, consideration, and adoption of the Annual Audited Accounts for the fiscal year ending June 30, 2025, alongside the Directors’ and Auditors’ reports. The company will also consider the reappointment of M/s Ilyas Saeed & Co., Chartered Accountants, as auditors for the next fiscal year, concluding on June 30, 2026. Further, elections will be held for the appointment of seven directors for a term of three years beginning October 31, 2025.

The special business segment involves several significant proposals. Among these is the consideration of approving the transmission of the company's "Annual Audited Financial Statements" via QR code and web links. This move, aligned with contemporary technological advancements, seeks to replace traditional postal methods, pending shareholder approval.

Moreover, the Board of Directors has proposed investments amounting to Rs. 500 million each into Ghani Global Holdings Limited, Ghani Global Glass Limited, and Ghani Chemical Industries Limited in the form of loans and advances. These proposals aim to generate profit from company funds and are subject to shareholder approval under section 199 of the Companies Act, 2017.

In addition, the AGM will vote on the approval of an Employees Stock Option Scheme (ESOS) and potential amendments to the Articles of Association to align with the Companies Act, 2017, and other relevant regulations.
