Haji Mohammad Ismail Mills Limited Awaits Court Decision Amid Reverse Merger Negotiations

Karachi: Haji Mohammad Ismail Mills Limited has provided an update on its ongoing financial and legal challenges, which includes a pending court decision related to a reverse merger plan aimed at reviving the company. The company's recent progress report, dated October 8, 2026, highlights significant developments as the firm navigates its way through a complex legal landscape.

According to the report, the company currently lacks fixed assets to commence commercial production. This situation stems from a winding-up petition filed by the Securities and Exchange Commission of Pakistan (SECP) in the High Court of Sindh in 2017. Consequently, trading of the company's shares was suspended by the Pakistan Stock Exchange in November of the same year.

In a strategic move to revitalize the company, the management has entered into a memorandum of understanding for a reverse merger with SEGO Pakistan (Pvt) Ltd. This merger is part of the company's revival efforts and is currently awaiting approval from the High Court of Sindh. The matter remains sub judice, and additional formalities are in process.

The company's affairs, including the legal proceedings and merger plans, are further detailed in the Directors' Report attached to the financial statements for the quarters ended June 30, 2026, and September 30, 2026. According to information available from the Pakistan Stock Exchange (PSX), the trading suspension remains in effect as the legal and corporate maneuvers continue.

The outcome of these proceedings will play a crucial role in determining the future trajectory of Haji Mohammad Ismail Mills Limited in the designated market category.
