Idrees Textile Mills Limited to Hold Extraordinary General Meeting for Strategic Decisions

Karachi: Idrees Textile Mills Limited has announced plans to convene an Extraordinary General Meeting (EGM) on June 27, 2026, at Liberty Ballroom, Karachi, to deliberate on key strategic decisions aimed at bolstering the company's profitability and financial health.

The meeting will commence at 12:00 noon, with the agenda featuring both ordinary and special business items. The ordinary business includes the confirmation of minutes from the 36th Annual General Meeting held on November 27, 2025. The special business will address strategic initiatives intended to drive the company's growth and profitability.

Among the proposed strategic measures is a plan to replace certain machinery to facilitate a shift towards value-added products. This move is anticipated to enhance the company's profitability by diversifying its product offerings. Additionally, Idrees Textile Mills is exploring opportunities to optimize surplus space by expanding into warehousing, logistics, and supply chain management services.

According to information available from the Pakistan Stock Exchange (PSX), these strategic resolutions, if approved, will necessitate modifications to the company's Memorandum and Articles of Association. The resolutions require shareholder approval under sections 134 and 183 (3) of the Companies Act, 2017, along with compliance with other corporate and regulatory formalities.

The shareholders will also consider empowering Mr. S.M. Mansoor Allawala, the Chief Executive Officer, with the authority to negotiate deals, appoint evaluators and legal advisors, and execute necessary documents for regulatory approvals.

The meeting will conclude with the transaction of any other business that receives the Chair's permission.
