Karachi: Indus Motor Company Limited has issued a notice for its 37th Annual General Meeting (AGM) to be held later this month. The meeting is scheduled for Monday, September 28, 2026, at 9:00 a.m. at the Avari Towers, Fatima Jinnah Road, Karachi, with an option for shareholders to participate via video-link.
According to the notice, the AGM will address several key items of ordinary business. Shareholders will review, consider, and adopt the audited financial statements for the year ending June 30, 2026, along with the Directors' Report, Auditors' Report, and the Chairman's Review Report. The company has made these documents accessible on its website as per regulatory requirements.
Among the significant agenda items is the approval of a final cash dividend for the fiscal year ending June 30, 2026. The Board of Directors has recommended a final dividend at the rate of 470%, equating to Rs. 47 per ordinary share. This is in addition to the interim cash dividends totaling 1480%, or Rs. 148 per share, distributed earlier in the year. Consequently, the aggregate cash dividend for the fiscal year 2025-26 will amount to 1950%, translating to Rs. 195 per ordinary share.
Furthermore, the AGM will see the appointment of external auditors for the next financial year ending June 30, 2027. The current auditors, M/s. A.F. Ferguson & Co., Chartered Accountants, will retire but have expressed their willingness to be re-appointed.
According to information available from the Pakistan Stock Exchange (PSX), the notice of the AGM was published in Business Recorder, ensuring compliance with Clause 5.6.9(b) of the PSX Rule Book.
The meeting will also allow for the transaction of any other ordinary business with the Chair's permission, as stated in the notice.
