Lahore: ITANZ Technologies Limited, once known as Zahur Cotton Mills Limited, has announced its upcoming Annual General Meeting (AGM) to be held on November 25, 2025. The meeting will commence at 10:00 a.m. at the LSE Auditorium, Basement-2, LSE Plaza, 19 Khayaban-e-Aiwan-e-Iqbal in Lahore.
The agenda for the AGM includes the confirmation of the minutes from the previous meeting held on October 28, 2024. Shareholders will also receive and consider the adoption of the audited financial statements for the fiscal year ending June 30, 2025. This review will be accompanied by the Directors’ and Auditors’ Reports, as well as the Chairman’s Review Report.
Another key item on the agenda is the appointment of statutory auditors for the financial year ending June 30, 2026. The Board of Directors, following the Audit Committee’s recommendation, has proposed the re-appointment of Alam & Aulakh, Chartered Accountants, who are eligible and have expressed their willingness to continue their service.
The meeting will also entertain any other business that may be brought up with the Chair’s permission. Shareholders who wish to participate in the meeting are advised that the Company’s Share Transfer Books will be closed from November 19, 2025, to November 25, 2025. Transfers submitted by the close of business on November 18, 2025, at the office of the Company’s Share Registrar in Karachi will be deemed timely for attendance and voting purposes.
According to information available from the Pakistan Stock Exchange (PSX), ITANZ Technologies Limited has structured the AGM to accommodate both in-person and virtual attendance. Shareholders opting to join via video link must register by 5:00 p.m. on November 24, 2025, providing necessary identification details.
Members unable to attend may appoint a proxy to vote on their behalf, provided that the proxy appointment is submitted 48 hours before the meeting. The company has also emphasized that no gifts will be distributed during the meeting.
Shareholders are encouraged to convert physical shares into book-entry form to facilitate the trading process, in accordance with the Companies Act, 2017. This move is in line with the Pakistan Stock Exchange’s existing regulations prohibiting the trading of physical shares.
In adherence to regulatory requirements, ITANZ Technologies Limited urges members to submit valid CNIC/NTN and bank account details if they have not already done so.
