Jubilee Spinning & Weaving Mills Ltd. Schedules 52nd Annual General Meeting

Lahore: Jubilee Spinning & Weaving Mills Limited has officially announced the scheduling of its 52nd Annual General Meeting (AGM) to take place on October 23, 2025, at 10:30 a.m. The meeting is set to be held at the company's registered office located at 503-E, Johar Town, Lahore. This meeting aims to address and transact several critical business matters as outlined in the official notice circulated among the certificate holders.

The agenda for the AGM includes the reception, consideration, and adoption of the audited financial statements for the fiscal year ending June 30, 2025. Alongside this, the Directors' and Auditors' Reports will also be reviewed. A significant point of business will be the appointment of auditors for the company, following the recommendation of the Board Audit Committee. M/s. Junaidy Shoaib Asad, Chartered Accountants, who are the retiring auditors, have offered themselves for re-appointment, and their remuneration will be determined during the meeting.

In preparation for the AGM, the company's share transfer books will remain closed from October 16, 2025, to October 23, 2025, both days inclusive. Transfers received by the company's Share Registrar, Vision Consulting Ltd, by the close of business on October 15, 2025, will be considered timely for the determination of voting rights.

Jubilee Spinning & Weaving Mills Limited has also made provisions for participation in the AGM through electronic means. Shareholders interested in attending virtually are required to register with the Company Secretary Office by October 17, 2025. Upon registration, login credentials will be provided to facilitate participation in the AGM via electronic means.

Additionally, shareholders eligible to attend and vote may appoint proxies, provided that proxy forms are submitted to the company no later than 48 hours before the meeting. The company emphasizes the importance of following the guidelines stipulated by the Securities and Exchange Commission of Pakistan for both attending the meeting and appointing proxies.

In compliance with Sections 223(6) and (7) of the Companies Act, 2017, audited financial statements are available on the company's website. Hard copies will be provided upon request within one week. Members are urged to submit their CNICs and bank details for e-dividend payment to ensure compliance with Section 242 of the Companies Act, 2017. Unclaimed dividends and bonus shares are also being addressed per section 244 of the Companies Act, 2017.

According to information available from the Pakistan Stock Exchange (PSX), the meeting will also address the conversion of physical securities into CDC accounts, following SECP advisories. Shareholders are encouraged to open CDC sub-accounts or investor accounts for this purpose.

The company highlights the availability of a video conference facility for shareholders holding an aggregate of 10% or more shareholding residing in a specific city. Shareholders are reminded to observe the Statutory Code of Conduct during the AGM, as outlined in Section 215 of the Companies Act, 2017, and Regulation 55 of the Companies Regulations, 2024. The distribution of gifts during meetings is prohibited under Section 185 of the Companies Act, 2017.
