Karachi: The Securities and Exchange Commission of Pakistan (SECP) has approved an extension request from K-Electric Limited for the convening of its Annual General Meeting (AGM) and the submission of its financial statements for the fiscal year ended June 30, 2024. The decision comes after the company's application for a delay, citing the need for additional time to prepare and audit their annual financial documents.
In a formal communication dated October 2, 2024, SECP granted K-Electric a 30-day extension, allowing the utility provider until November 27, 2024, to hold its AGM and present the financial statements to its shareholders. This extension is permissible under sections 132 and 223 of the Companies Act, 2017, which provide regulatory flexibility in exceptional circumstances.
According to information available from the Pakistan Stock Exchange (PSX), the delay in convening the AGM and the subsequent financial disclosures are aimed at ensuring the accuracy and thoroughness of the financial reporting by K-Electric. The Karachi-based power distributor had initially scheduled these activities for an earlier date but had to postpone due to unspecified challenges that required more time to address adequately.
The SECP's approval was issued with a stipulation highlighting its authority to take action if K-Electric fails to comply with the extended timeline or meets any other statutory requirements. This underscores the regulatory body's commitment to maintaining stringent compliance standards while also providing leeway for unforeseen adjustments in corporate governance practices.
K-Electric, a key player in Pakistan's energy sector, is expected to provide its stakeholders with a detailed account of its financial health and operational performance once the AGM is convened and the statements are officially laid out for shareholder review.
