Kohat Cement Company Limited Elects New Board of Directors and Approves Fee Scale Increase

Kohat: Kohat Cement Company Limited announced key resolutions passed during its Extraordinary General Meeting held on June 28, 2025. The meeting, conducted in Kohat, saw the unopposed election of directors and the approval of an increase in the scale of fees for non-executive directors.

The shareholders elected the following individuals as directors for a term of three years commencing June 29, 2025. The elected directors are Mr. Aizaz Mansoor Sheikh, Mr. Nadeem Atta Sheikh, Mr. Ahmad Sajjad Khan, an independent director, Mr. Talha Saeed Ahmed, another independent director, Mrs. Hijab Tariq, Mr. Muhammad Rehman Sheikh, Mr. Muhammad Atta Tanseer Sheikh, and Mr. Hamza Atta Sheikh. The election follows the provisions outlined in the Companies Act, 2017.

A special resolution was also passed to approve an increase in the scale of fees for non-executive directors attending board and committee meetings. According to the resolution, effective July 1, 2025, independent directors will receive a fee of Rs. 100,000 for both Board of Directors meetings and committee meetings. Other non-executive directors will receive Rs. 40,000 for each meeting attended. Additionally, independent non-executive directors residing outside the city of the meeting will receive a fixed allowance of Rs. 85,000 per visit to cover travel, boarding, and lodging expenses for attending meetings in person.
