Kohat Cement Limited Proposes Auditor Change and Approves Related Party Transactions

Kohat: Kohat Cement Company Limited (KCCL) has announced its 46th Annual General Meeting (AGM) scheduled for October 13, 2025, at the company’s registered office on Rawalpindi Road, Kohat. The meeting’s agenda reveals critical decisions regarding company auditors and transactions with related parties.

During the AGM, shareholders will review and adopt the audited financial statements for the fiscal year ending June 30, 2025. The current auditors, M/s. KPMG Taseer Hadi and Co., are set to retire, with the Board Audit Committee and the Board of Directors recommending the appointment of M/s. A.F. Ferguson & Co. as their successors. Shareholders will vote on this significant change.

In special business, the AGM will focus on ratifying transactions with related parties conducted during the last financial year. These transactions were executed at arm’s length, adhering to the Board-approved policy and the special resolution passed during the last AGM on October 15, 2024.

According to information available from the Pakistan Stock Exchange (PSX), Kohat Cement has engaged in substantial transactions with associated companies such as Ultra Pack (Private) Limited (UPPL) and Ultra Kraft (Private) Limited (UKPL). The company purchased polypropylene bags worth 1.53 billion rupees from UPPL and paper bags worth 393.09 million rupees from UKPL. These transactions were made at open market prices, ensuring compliance with the regulatory requirements.

Additionally, the meeting will consider authorizing the company’s Chief Executive to approve related party transactions for the upcoming fiscal year ending June 30, 2026. Shareholders will also deliberate on renewing a short-term running finance investment of up to 600 million rupees in Ultra Kraft (Private) Limited.

The AGM will provide a platform for shareholders to discuss and approve these crucial business decisions, which will impact the company’s financial and operational strategies moving forward.
