Karachi: Kot Addu Power Company Limited (KAPCO) has issued a formal clarification regarding a news item published in the Business Recorder, addressing speculations about its proposed acquisition of Attock Cement Pakistan Limited (ACPL). The announcement was made on November 12, 2025, as part of compliance with Regulation 5.6.2 of the Pakistan Stock Exchange (PSX) Rule Book.
The article in question suggested that the transaction between KAPCO and ACPL had been finalized. However, KAPCO emphasized that this information is premature and does not accurately reflect the current status. According to information available from the Pakistan Stock Exchange (PSX), the proposed joint acquisition of 84.06% shareholding and joint control of ACPL by KAPCO and Fauji Cement Company Limited (FCCL) remains in process and incomplete.
KAPCO reiterated that the acquisition’s finalization is contingent upon several factors, including the completion of due diligence, the execution of appropriate agreements, and the procurement of necessary regulatory and corporate approvals. The company highlighted that it has already communicated the correct factual position through a series of disclosures: a material information disclosure dated November 3, 2025, a subsequent addendum submission on November 4, 2025, and the publication of this addendum in “The Nation” and “Nawa-i-Waqt” newspapers on November 6, 2025.
The company assured its commitment to keeping the Exchange and the public updated on any material developments regarding the acquisition. This clarification aims to inform market participants and stakeholders of the ongoing nature of the transaction and to correct any misconceptions derived from the previous report.
