Mehran Sugar Mills Limited Announces 60th Annual General Meeting to Address Key Business Transactions

Karachi: Mehran Sugar Mills Limited has announced its 60th Annual General Meeting (AGM), scheduled to take place at the ICAP Auditorium, Chartered Accountant Avenue, Clifton, Karachi, on Wednesday, January 28, 2026, at 1800 PST. The meeting will cover several significant business matters.

The AGM's agenda includes confirming the minutes from the previous year's meeting held on January 28, 2025. Additionally, shareholders will engage in discussions regarding the adoption of the company's audited financial statements for the year ending September 30, 2025. This will include evaluating the Directors' and Auditors' Reports.

A key item on the agenda is the consideration and approval of a final cash dividend at the rate of 30%, equivalent to Rs. 30 per share. This is in addition to an interim cash dividend of 25% or Rs. 2.5 per share, as recommended by the Board of Directors for the year ended September 30, 2025.

Shareholders will also appoint auditors for the fiscal year ending September 30, 2026, and decide on their remuneration. The current auditors, M/s Grant Thornton, Chartered Accountants, have expressed their willingness to continue in their role.

Moreover, the election of seven directors, as stipulated by the Board for a three-year term under Section 159 of the Companies Act, 2017, will be conducted. The retiring directors include Mohammad Kasim Hasham, Mohammad Hussain Hasham, Khurram Kasim, Ahmed Ebrahim Hasham, Mrs. Anushey A. Hasham, Hasan Aziz Bilgrami, and Iftikhar Soomro.

According to information available from the Pakistan Stock Exchange (PSX), this announcement comes at a pivotal time for Mehran Sugar Mills Limited, as it addresses the critical components of business continuity and shareholder interest. The share transfer books of the company will remain closed from January 22, 2026, to January 28, 2026, inclusive.

Members entitled to attend and vote at the AGM may appoint a proxy to represent them. Proxies must be submitted to the registered office of the company no later than 48 hours before the meeting. Shareholders are also reminded to notify the company of any changes to their address and to provide their CNIC numbers to comply with SECP's requirements for Annual Returns.

The AGM will also entertain any additional business that may arise, subject to the Chair's approval.
