Lahore: Mis. Asghar Flour Mills (Pvt.) Limited has been issued a final order in response to a show-cause notice concerning its failure to file audited financial statements for the fiscal year ending 2023. The proceedings, initiated under Section 233 read with Section 479 of the Companies Act, 2017, were concluded with the company receiving a warning rather than a penalty. The decision was announced on April 29, 2024, by the Adjudication Officer, Adjudication Department-II, Lahore.
According to the details of the case, Mis. Asghar Flour Mills did not submit its financial statements within the required timeframe, as mandated by Section 233 of the Companies Act. The company faced potential penalties for this non-compliance. Show-cause notices were issued on February 07, 2024, with hearings scheduled on February 16, 2024, February 26, 2024, and March 05, 2024. However, neither the company’s directors nor their representatives appeared for the hearings.
Despite the repeated non-attendance, the company eventually filed the necessary returns with the Registrar, Corporate Registry Department, Faisalabad, during the adjudication process. This was verified by the registrar, leading to the decision to condone the penalty.
According to information available from the Pakistan Stock Exchange (PSX), timely submission of financial statements is crucial for maintaining transparency and providing reliable information to stakeholders. Mis. Asghar Flour Mills’ initial failure to comply raised concerns about its management systems and internal controls.
The Companies Act stipulates that financial statements must be filed within thirty days of the annual general meeting for listed companies and within fifteen days for others. Mis. Asghar Flour Mills’ delay in submission was seen as a significant breach, requiring stern action to ensure future compliance.
In light of the company’s eventual compliance, the Adjudication Officer exercised discretion to issue a warning rather than impose a penalty. The order emphasized the directors’ fiduciary duties and the importance of timely and accurate financial reporting. The decision reflects the Commission’s commitment to ensuring companies adhere to statutory requirements to uphold market integrity.
This order serves as a reminder to all companies within the designated market category of the importance of compliance with financial reporting obligations and the potential consequences of non-compliance.
