Nazir Cotton Mills Limited Reports Mixed Financial Outcomes and Compliance Issues in Annual Review

Lahore: Nazir Cotton Mills Limited, a major player in the textile industry, has published its Annual Report for the year ended June 30, 2024, unveiling a challenging financial landscape alongside governance and compliance hurdles. The company's annual general meeting is scheduled for October 28, 2024, at its Lahore headquarters.

According to information available from the Pakistan Stock Exchange (PSX), Nazir Cotton Mills faced significant financial distress this year, marked by a net loss of Rs. 15.99 billion, albeit a slight improvement from the previous year's Rs. 23.72 billion loss. Sales saw an increase to Rs. 7.53 billion up from Rs. 4.16 billion in the previous year, attributed primarily to the company's diversified operations in the dairy sector alongside its traditional textile business.

The financial report highlights substantial governance issues, particularly non-compliance with corporate governance regulations mandating the inclusion of female directors and adequate participation in director training programs. This non-compliance has led to adverse remarks from the company's auditors, who have expressed an adverse opinion regarding the company's financial statements due to these and other irregularities.

Furthermore, the company's auditors have pointed out significant deficiencies in the financial controls and reporting mechanisms, casting doubts on the company's ability to continue as a going concern. These challenges are compounded by the company's ongoing litigation with financial institutions over unpaid borrowings and disputed financial arrangements.

Despite these issues, the management remains hopeful, citing ongoing efforts to secure necessary resources and regulatory approvals to resume full operations, which have been sporadic since 2006 due to operational shutdowns. The company also plans to address the compliance issues highlighted in the auditors' report by implementing corrective measures, including the appointment of qualified directors and enhancing its internal audit functions.
