Pakistan Petroleum Limited Calls Extraordinary General Meeting for Directors’ Election

Karachi: Pakistan Petroleum Limited (PPL) has announced an Extraordinary General Meeting (EGM) to be held on August 31, 2026, at 11:00 AM at Movenpick Hotel, Karachi, and via video link for the election of its Board of Directors. The meeting will conduct the election of ten directors, including a female director, for a term of three years, as per Section 159 of the Companies Act, 2017.

The Board has fixed the number of directors to be elected at ten. The current directors whose terms are expiring include Mr. Abid Sattar, Mr. Aftab Ahmad, Mr. Imtiaz A. H. Laliwala, Mr. Mian Imtiazuddin, Mr. Mirza Nasir-Ud-Din Mashhood Ahmad, Mr. Qumar Sarwar Abbasi, Mr. Shahab Rizvi, Mr. Shakeel Qadir Khan, and Mr. Usman Ahmed Chaudhry.

According to information available from the Pakistan Stock Exchange (PSX), the notice for the EGM will be published in "The News" and "Jang" newspapers on August 10, 2026, adhering to the exchange's rules. The meeting is open to registered members as of August 24, 2026, and proxies must be submitted 48 hours prior to the meeting.

The company has also issued guidelines for CDC account holders and outlined procedures for e-voting and postal ballots. M/s. KPMG Taseer Hadi, Chartered Accountants, has been appointed as the Scrutinizer to oversee the voting process.

Additionally, the Securities and Exchange Commission of Pakistan has prohibited the provision of gifts to shareholders in connection with the meeting. Members are encouraged to update their contact details with the share registrars or through the CDC.

PPL has reiterated its commitment to encouraging independent directors on its Board, ensuring compliance with the independence criteria set by the Companies Act, 2017, and relevant governance rules.
