Penalty Imposed on A. B. Exports (Private) Limited for Non-Compliance with Companies Act

Lahore: The Securities and Exchange Commission of Pakistan (SECP) has imposed a penalty of Rs. 15,000 on A. B. Exports (Private) Limited for failing to file its audited financial statements for the year 2023 within the required timeframe as stipulated by the Companies Act, 2017. This decision was announced on May 07, 2024, following a series of hearings where the company repeatedly failed to appear.

The proceedings against A. B. Exports (Private) Limited were initiated through a Show Cause Notice (SCN) dated February 07, 2024, issued under Section 233 read with Section 479 of the Act. The company was found to have contravened these provisions by not submitting their audited financial statements for the year 2023 to the Registrar within the stipulated period. This delay rendered the company liable to a penalty under the provisions outlined in the Act.

Despite several opportunities to present their case, neither the company nor its representatives attended the hearings scheduled by the SECP. The company did, however, submit a written reply on March 2, 2024, but failed to comply with the requirement to file the necessary financial statements. The Registrar, CR0, Faisalabad, confirmed the company's non-compliance.

According to information available from the Pakistan Stock Exchange (PSX), adherence to the Companies Act is crucial for maintaining transparency and providing users with reliable financial information. The SECP emphasized the importance of timely and accurate financial reporting for all companies to ensure transparency and accountability.

The SECP’s Adjudication Officer, under the powers delegated by Notification S.R.O. 1546 (1)/2019 dated December 06, 2019, determined that the company had failed to meet the mandatory requirements of Section 233 of the Act. This failure raised concerns about the company’s internal management systems and controls, prompting the need for stern action.

The imposed penalty must be deposited into a designated bank account maintained with MCB Bank Limited or UBL Bank Limited in the name of the Securities and Exchange Commission of Pakistan, within thirty days of receiving the order. Failure to make the payment will result in recovery proceedings against the company and the respondents.

The SECP's action serves as a reminder to all companies about the importance of compliance with the Companies Act, ensuring that their financial statements are duly filed and available for inspection, safeguarding the interests of stakeholders and maintaining market integrity.
