Premier Insurance Limited Schedules Election of Directors at Upcoming General Meeting

Karachi: Premier Insurance Limited has announced an Extra-Ordinary General Meeting (EOGM) scheduled for June 22, 2026, at 10:00 a.m. The meeting, set to take place at the company’s registered office on the 5th Floor of State Life building No. 2A, Wallace Road, Off I.I. Chundrigar Road, Karachi, will facilitate the election of seven directors in accordance with the provisions of the Companies Act, 2017.

The company has detailed the procedure for shareholders to participate in the election process. Shareholders are required to submit necessary documentation, including identity verification and a formal declaration of their candidacy, no later than fourteen days prior to the EOGM. The list of retiring directors includes Mr. Khalid Bashir, Mr. Nadeem Maqbool, Mr. Ahsan Bashir, Mr. Imran Maqbool, Mr. Sharik Bashir, Mr. Salman Rafi, and Mrs. Rukhsana Saleem.

In compliance with the regulations, the share transfer books will be closed from June 15, 2026, to June 22, 2026. Transfers received by the close of business on June 12, 2026, at the office of FAMCO Share Registration Services (Pvt) Ltd will be eligible for participation in the meeting. The designated market category for this announcement is the Pakistan Stock Exchange (PSX).

According to information available from the Pakistan Stock Exchange (PSX), the board has appointed M/s BDO Ibrahim & Company, Chartered Accountants, to serve as the scrutinizer for the election. The scrutinizer, along with FAMCO Share Registration Services, will ensure the integrity of the voting process, which includes provisions for e-voting and voting through a postal ballot.

The Premier Insurance Limited has also implemented a video link facility for shareholders unable to attend in person. Shareholders wishing to use this facility are required to register by June 20, 2026. Additionally, e-voting lines will be open from June 15, 2026, at 05:00 p.m. to June 21, 2026, at 05:00 p.m., allowing shareholders to cast their votes electronically.

The election will also determine the appointment of independent directors, who will be selected based on their competencies and qualifications in line with Section 166 of the Companies Act, 2017. The final list of contesting directors will be made available seven days before the meeting, and the company’s website will be updated with relevant information.
