Quice Food Industries to Merge with Indus Fruit Products in Strategic Move

Karachi: Quice Food Industries Limited has announced a significant development following its Extraordinary General Meeting held on June 23, 2026. During the meeting, held at the company's registered office in Karachi, shareholders passed a special resolution endorsing the merger of Indus Fruit Products Limited with Quice Food Industries Limited.

The decision, documented in a certified copy of the resolutions, is part of a strategic Scheme of Arrangement. The plan will see Indus Fruit Products Limited amalgamated into Quice Food Industries Limited, with all assets and liabilities being absorbed. This arrangement will result in the dissolution of Indus Fruit Products Limited without the need for winding up, while the surviving entity will retain the name Quice Food Industries Limited.

According to information available from the Pakistan Stock Exchange (PSX), the merger requires the approval of the Honorable High Court of Sindh. The draft Scheme of Arrangement, which is an integral part of the merger process, has been prepared under Sections 279 to 283 and 285 of the Companies Act, 2017. It was presented during the meeting and approved by the shareholders.

This merger is poised to streamline operations and bolster the market position of Quice Food Industries Limited within the designated market category. The exchange of ordinary shares in accordance with the Scheme of Arrangement will facilitate the integration of the two companies, consolidating their resources under a unified corporate structure.
