Lahore: Rehman Sharif Textile Mills (Pvt.) Limited has been subjected to a penalty following proceedings initiated due to its failure to file audited financial statements for the year ended 2023 in accordance with the Companies Act, 2017. The Securities and Exchange Commission of Pakistan (SECP) has imposed a fine of Rs. 10,000 on the company, highlighting significant concerns over its management systems and internal controls.
The proceedings began with a Show Cause Notice (SCN) dated February 07, 2024, issued under Sections 233 and 479 of the Companies Act, 2017. The notice was served to the company and its directors, including the chief executive, for failing to submit the financial statements within the timeframe stipulated by the law. Despite multiple opportunities for hearings on February 16, February 26, and March 05, 2024, the respondents did not appear or provide any representation.
According to information available from the Pakistan Stock Exchange (PSX), this incident underscores the importance of timely and accurate financial reporting, which is crucial for transparency and reliability in assessing a company's financial position and performance. The SECP's decision to impose a penalty reflects the seriousness of the breach and the necessity for strict adherence to legal requirements regarding financial disclosures.
The powers to adjudicate this case were delegated to the Adjudication Officer of the Adjudication Department-II in Lahore through the Commission’s Notification S.R.O. 1546 (I)/2019 dated December 06, 2019. The officer highlighted the clear stipulations under Section 233 of the Companies Act, which mandate the filing of financial statements within specific deadlines post the annual general meeting.
With the penalty announced on April 29, 2024, the chief executive of Rehman Sharif Textile Mills is required to deposit the fine in a designated bank account within thirty days. Failure to comply may result in further recovery proceedings initiated by the Commission. This order is issued without prejudice to any subsequent actions the Commission might undertake based on further investigations or information.
