Karachi: Sakrand Sugar Mills Limited has announced it will hold an Extraordinary General Meeting (EOGM) on September 15, 2025, at 3:00 p.m. The meeting will take place at the ICAP Auditorium on ICAP Avenue Road, Clifton, Karachi. This gathering will serve to confirm the minutes from the previous 36th Annual General Meeting and to facilitate the election of seven directors, as designated by the board, for a term of three years.
The slate of retiring directors includes Mr. Saleem Zamindar, Mr. Dinshaw H. Anklesaria, Mr. Shams Ghani, Mr. Muhammad Saleem Mangrio, Mr. Muhammad Omar Arshid, Mr. Abdul Qayyum Khan Abbasi, and Miss Sadia Moin. Shareholders on record as of September 4, 2025, will have the opportunity to participate in the EOGM, with the share transfer books to be closed from September 7 to September 15.
The election process will adhere to Section 159(1) of the Companies Act, 2017, and candidates must submit their intention to contest at least 14 days prior to the meeting. The company has outlined specific documentation requirements for candidates, including proof of eligibility and declarations of compliance with relevant regulations.
The meeting will also address possible participation via video link, a provision for those shareholders who register by September 11, 2025. Members are encouraged to ensure their contact information is current to facilitate this process.
According to information available from the Pakistan Stock Exchange (PSX), the meeting will also allow for the appointment of proxies and representation of corporate shareholders. Proxies must be registered with the company 48 hours before the meeting, and corporate entities must provide a board resolution or power of attorney.
The EOGM will conclude with discussions on the prohibition of gift distribution, in line with SECP SRO No. 452(1) 2025, and the conversion of physical shares to book-entry form as per Section 72(2) of the Companies Act, 2017. No gifts will be distributed, in compliance with section 185 of the Companies Act, 2017.
Shareholders are advised to notify any changes in address promptly and ensure all documentation, including CNIC and NTN certificates, are updated with the company registrar.
