Shifa International Hospitals Ltd. Completes Share Credit Following Merger with Shifa Medical Centre

Islamabad: Shifa International Hospitals Ltd. (SIHL) has announced the successful credit of 78,860 ordinary shares into the Central Depository System, following the completion of a merger with Shifa Medical Centre Islamabad (Pvt.) Limited (SMCI). This development marks a significant step in the corporate restructuring of the healthcare company, effective October 13, 2026.

The merger, which was sanctioned by the Islamabad High Court earlier this year, saw the amalgamation of SMCI into SIHL, increasing the latter's issued, subscribed, and paid-up share capital from PKR 632,143,830 to PKR 632,932,430. The increase comes as a result of the allocation of new shares to SMCI shareholders, reflecting a swap ratio of 1 ordinary share of SMCI for every 0.032 shares of SIHL.

According to information available from the Pakistan Stock Exchange (PSX), the move complies with all necessary corporate, legal, and procedural formalities as stipulated by Sections 96 and 131 of the Securities Act, 2015, and Clause 5.6.1(a) of the PSX Rule Book. This meticulous adherence to regulations underscores the company's commitment to maintaining transparency and accountability in its financial dealings.

The completion of this share credit marks the final step in the merger process, dissolving SMCI without winding up. This strategic merger is expected to streamline operations and enhance shareholder value for SIHL, which now boasts an increased share capital comprising 63,293,243 ordinary shares.

The shareholders of SIHL, including those who were previously part of SMCI, have had their new shares credited to their accounts maintained with the Central Depository Company of Pakistan Limited. This development follows the approval of the scheme by the Board of Directors in October 2025 and its subsequent sanction by the court in July 2026.

As the healthcare industry witnesses a consolidation of entities, this merger represents a significant move in the market category, aligning with the broader trend of companies seeking operational efficiencies and improved service delivery through strategic alliances.
