Sui Southern Gas Company’s Request for AGM Extension Denied by SECP

Karachi: The Securities and Exchange Commission of Pakistan (SECP) has turned down a request from Sui Southern Gas Company Limited (SSGC) for an extension to hold its Annual General Meeting (AGM) and present its financial statements for the fiscal year ending June 30, 2024. The request was submitted by the company in a letter dated January 13, 2025.

In accordance with sections 132 and 223 of the Companies Act, 2017, SSGC sought additional time to convene its AGM and lay out its audited financial statements. However, the SECP clarified that there is no legal provision under the current legislation that allows the Commission to grant such an extension. Consequently, the company's request was denied.

The SECP emphasized that this decision was made with the approval of the competent authority. Furthermore, the Commission reserves the right to initiate any necessary action should there be any non-compliance with the requirements of the Act.

According to information available from the Pakistan Stock Exchange (PSX), SSGC's financial performance and compliance with regulatory requirements are closely monitored by investors and stakeholders in the market. The company's inability to hold its AGM and present financial statements within the stipulated timeframe could have implications for its market standing.

The designated market category for Sui Southern Gas Company Limited is the utilities sector, which plays a pivotal role in the country's energy infrastructure. The denial of the extension request serves as a reminder of the regulatory framework governing corporate governance and compliance in Pakistan.

The SECP's decision underscores the importance of adhering to statutory timelines and maintaining transparency with shareholders and the broader market. As SSGC moves forward, it will need to address these challenges and ensure compliance with the Companies Act, 2017 to avoid potential repercussions.
