Systems Limited Completes Sub-Division of Ordinary Shares

Karachi: Systems Limited has announced the completion of its share sub-division, executed under Section 85(1)(c) of the Companies Act, 2017. As per the company's earlier announcements on April 29, 2025, and May 21, 2025, the face value of shares has been adjusted from Rs. 10 to Rs. 2. This update is effective as of the close of business on May 31, 2025, with shares credited into the accounts of entitled shareholders via the Central Depository Company of Pakistan Limited.

Shareholders who hold physical share certificates are advised to submit their original certificates along with verified transfer deeds, if applicable, to the Share Registrar's office in Karachi, for the issuance of new share certificates. A certified copy of the shareholder's CNIC is required for this submission. The Share Registrar's office, CDC Share Registrar Services Limited, operates from Monday to Friday, 9:00 am to 5:00 pm.

In accordance with the special resolution passed by the shareholders, Systems Limited's subscribed and paid-up capital, which previously consisted of 293.48 million ordinary shares of Rs. 10 each, has now been restructured into 1.47 billion ordinary shares of Rs. 2 each. The rights and privileges attached to the shares remain unchanged post-restructuring.

According to information available from the Pakistan Stock Exchange (PSX), this restructuring aligns the company's capital framework with its strategic objectives, without altering shareholder rights. Stakeholders are requested to update their records to reflect this revised structure of the company's paid-up capital.
