TPL Properties Requests Extension for Annual General Meeting Amid Audit Delays

Karachi: TPL Properties Limited has formally requested an extension to hold its Annual General Meeting (AGM) for the financial year ending on June 30, 2026. The company's application, dated September 25, 2026, seeks approval to postpone the AGM to November 27, 2026, citing delays in finalizing its annual accounts.

The request, filed under Section 132 of the Companies Act, 2017, includes an affidavit from the Company Secretary, an auditor's letter, and a bank challan. The documents were submitted to justify the need for a 30-day extension beyond the initially required date of October 28, 2026.

TPL Properties Limited, a part of the TPL Group, has attributed the delay to the concurrent audit activities at the group level. The TPL Group comprises over eighteen subsidiaries and associated companies, most of which share the same financial year-end date of June 30. This overlap has resulted in resource constraints for both the auditors and the finance department.

According to information available from the Pakistan Stock Exchange (PSX), the last AGM for TPL Properties was held on December 29, 2025, where financial statements for the year 2024-2025 were approved. The company's current predicament stems from the inability to finalize and present audited accounts to shareholders within the stipulated timeframe, despite ongoing efforts by the auditors and the company.

The company aims to circulate the notice of the AGM, along with the requisite financial documents, at least 21 days before the meeting, which would have required completion by October 7, 2026. However, due to the ongoing audit process, this target has proven difficult to meet.

TPL Properties has formally requested that the Commission acknowledge the delay and grant an extension under the applicable section of the Companies Act, allowing the AGM to be rescheduled for November 27, 2026. This extension would provide the necessary time to complete the audit and prepare the financial statements for shareholder review.
