TPL Properties Shareholders Approve Key Resolutions at Annual Meeting

Karachi: Shareholders of TPL Properties Limited convened for their annual general meeting on December 29, 2025, to discuss and pass several key resolutions. This meeting, held in line with Rule 5.6.9(b) of the Rule Book of Pakistan Stock Exchange Limited, saw the approval of significant business and strategic decisions for the company.

During the meeting, participants approved the minutes from the previous annual general meeting, which took place on November 27, 2024. The approval was a standard procedural move, ensuring continuity in the company's governance.

Shareholders also reviewed and adopted the Annual Standalone and Consolidated Audited Financial Statements for the fiscal year ending June 30, 2025. These statements, accompanied by the Chairman's Review Report and the Directors' and Auditors' Reports, were unanimously approved. This step is crucial for maintaining transparency and accountability within the company.

In terms of the company's financial oversight, the meeting saw the reappointment of M/s. Grant Thornton Anjum Rahman, Chartered Accountants, as auditors for the fiscal year ending June 30, 2026. The decision followed a recommendation from the Audit Committee, and the reappointment was agreed upon with a mutually accepted fee structure.

The election of directors was another pivotal point of the meeting. With the Board of Directors setting the number of directors at seven, the following individuals were deemed elected for a three-year term: Mr. Jameel Yusuf Ahmed S.St, Mr. Muhammad Ali Jameel, Mr. Khalid Mahmood, Vice Admiral (R) Muhammad Shafi HI(M), Mr. Ziad Bashir, Mr. Ahmed Mujtaba Memon, and Ms. Fauzia Kehar.

Additionally, the meeting addressed strategic growth initiatives through a special resolution under Section 199 of the Companies Act 2017. The shareholders authorized TPL Properties Limited to make an equity investment of up to 100 million rupees in HKC (Private) Limited, an associated company. This move is expected to bolster the company’s investment portfolio.
