Lahore: The Securities and Exchange Commission of Pakistan (SECP) has imposed a fine on M/S U.T. Industries (Private) Limited for failing to submit its audited financial statements for the year ending in 2023 within the mandated timeframe. An order issued on March 13, 2024, concluded the proceedings initiated against the company through a Show Cause Notice (SCN) dated February 7, 2024.
The company was found to have violated Section 233 of the Companies Act, 2017, which requires that financial statements be filed with the Registrar within 30 days of the annual general meeting for listed companies and within 15 days for others. According to the SECP, U.T. Industries did not comply with this requirement, prompting legal action under the Act. The company was consequently subjected to a penalty of Rs. 10,000.
According to information available from the Pakistan Stock Exchange (PSX), the issue was brought to light after the company failed to file the necessary documents within the specified duration. Despite multiple opportunities for a hearing, representatives from U.T. Industries, including its chief executive and directors, did not appear on the scheduled dates. An authorized representative, Mr. Asif Ishaq, eventually attended a hearing via Zoom on March 12, 2024, but failed to provide a satisfactory explanation for the delay.
The SECP has emphasized the importance of timely and accurate financial reporting, highlighting that such practices ensure transparency and provide stakeholders with reliable information about a company's financial health. The Commission noted that the failure to submit the required documents indicated systemic weaknesses within U.T. Industries' management and internal controls.
In a detailed analysis of the case, the SECP underscored the directors' fiduciary duty to ensure compliance with legal requirements, stressing that financial and operational reporting must be timely to meet legal obligations. The imposition of the penalty aims to serve as both a punitive and corrective measure.
The order also warns that additional actions may be pursued by the SECP based on further investigations or new information. U.T. Industries has been instructed to pay the penalty within 30 days to avoid further recovery proceedings. The penalty is to be deposited in a designated bank account maintained with MCB Bank Limited or UBL Bank Limited.
