Karachi: The United Insurance Company of Pakistan Limited has announced an addendum to its Notice for the 65th Annual General Meeting (AGM), which will take place on Friday, April 25, 2025, at 11:00 AM (PST) at the 3rd Floor PSX Auditorium, Pakistan Stock Exchange Limited, Karachi. This announcement follows the guidelines laid out in Clause 5.6.9 (b) of the Pakistan Stock Exchange Rule Book, as detailed in a pre-publication notice dated April 04, 2025.
The addendum, which is set to be published in Business Recorder and Daily Nai Baat on April 15, 2025, aims to inform shareholders about the procedures for participating in the meeting via electronic voting and postal ballot. According to the Companies (Postal Ballot) Regulations, 2018, updated through SRO 2192 (I)/2022 issued by the Securities and Exchange Commission of Pakistan (SECP), members can vote on special resolutions through these options.
For Agenda Item No. 7, which requires a special resolution, the company has arranged for e-voting and postal ballot options. M/s Digital Custodian Company Limited has been appointed as the e-voting service provider, while M/s S.M. Suhail & Co. Chartered Accountants will act as the scrutinizer.
E-voting details will be shared via email with company members who have provided valid CNIC numbers, cell numbers, and email addresses. The e-voting process will be accessible from April 22, 2025, to April 24, 2025. Members can cast their votes during this period, with authentication required via electronic signature or login credentials. Once a vote is cast, it cannot be changed.
For those opting for a postal ballot, members must submit a completed and signed ballot paper along with a copy of their CNIC to the Chairman of the meeting via post or email at [email protected]. These submissions must be received at the company's Registered Office in Karachi one day before the AGM, during working hours.
