AMRELI STEELS LIMITED ANNOUNCES UPCOMING DIRECTOR ELECTIONS

Karachi: Amreli Steels Limited has announced the candidates for its upcoming Extraordinary General Meeting (EGM) scheduled for July 30, 2024, where elections for new directors will be conducted. This meeting will be held in Karachi and via electronic means such as video-link, ensuring broad accessibility for all members.

According to information available from the Pakistan Stock Exchange (PSX), the Notice of Election under Section 159(4) of the Companies Act, 2017 along with the Ballot Paper, as mandated by the Companies (Postal Ballot) Regulations, 2018, was published in "The Daily Dawn" and "The Daily Express." These documents have also been made available on the company’s website, providing transparency and accessibility to the shareholders.

The election process includes candidates for one female director and four other director positions. Notably, the candidates for the two independent director positions will stand elected unopposed as their nominations do not exceed the number fixed by the board, fulfilling the criteria under Section 166 of the Companies Act, 2017. The candidates for these roles are listed in the data bank of independent directors maintained by the Pakistan Institute of Corporate Governance.

For the election, Amreli Steels has facilitated voting through e-voting or postal ballot, in line with the Companies (Postal Ballot) Regulations, 2018. Details of the voting procedure were circulated to members through the Notice of the EGM and are available on the company's website.

To ensure the integrity of the election process, the Board of Directors has appointed M/s. BDO Ebrahim and Co., Chartered Accountants, as the Scrutinizer for the meeting. Their duties will include overseeing the Election of Directors and ensuring compliance with relevant regulations.
