Lahore: Digital Custodian Company Limited (DCCL) has scheduled an Extraordinary General Meeting (EOGM) on December 28, 2024, to seek shareholder approval for a proposed Scheme of Compromises, Arrangements, and Reconstruction. This meeting follows an order from the Honorable Lahore High Court, which approved the convening of the meeting as part of Civil Original No. 75382/2024.
The agenda for the meeting includes the adoption, approval, and passing of a special resolution regarding the Scheme, which involves the reconstitution of share capital and reserves, along with the transfer of designated assets and liabilities. The participating entities in the Scheme include Digital Custodian Company Limited, LSE Financial Services Limited, and their respective members.
According to information available from the Pakistan Stock Exchange (PSX), the Scheme is designed to facilitate the administration of statutory funds and requires the sanction of the Lahore High Court. The resolution also grants authorization to the Chief Executive or Company Secretary of the involved companies to carry out necessary legal and procedural steps for the Scheme's implementation.
The notice for the EOGM was issued with the approval of Joint Chairmen Mr. Salah Umar Awan and Barrister Kamal Ali Khan, as appointed by the Lahore High Court on December 02, 2024. The meeting will take place at the company's registered office in Lahore.
