Karachi: Chakwal Spinning Mills Limited (CWSM) has taken significant steps to address its previous non-compliance with the Pakistan Stock Exchange (PSX) regulations, particularly regulations 5.11.1.(b) and (c). The company had earlier failed to hold its Annual General Meeting (AGM) and transmit its Annual Audited Financial Statements for the fiscal year ending June 30, 2024. This failure was initially communicated through PSX Notice No. PSX/N-1164 dated December 04, 2024.
The company has now convened its overdue AGM and has transmitted its Annual Audited Financial Statements for the year ended June 30, 2024. This update was formally announced through PUCARS on January 16, 2025. With these actions, the previous non-compliances with PSX Regulations 5.11.1.(b) and (c) have been rectified.
Despite these corrective measures, Chakwal Spinning Mills Limited continues to face challenges. The company has experienced a prolonged suspension of commercial production and business operations in its principal line of business. Additionally, its statutory auditor issued an adverse opinion in the audit report, which means that the company will remain listed in the Non-Compliant Segment under non-compliances of Clauses 5.11.1.(a) and (g) of the PSX Regulations.
This status will persist until the company rectifies all non-compliance issues. According to information available from the Pakistan Stock Exchange (PSX), the continuous listing in the Non-Compliant Segment requires CWSM to take further actions to address the remaining issues highlighted in the auditor's report and restore its commercial operations.
CWSM’s challenges highlight the importance of adhering to regulatory requirements to maintain investor confidence and market integrity. The company’s management is expected to work diligently towards resolving the ongoing non-compliances to facilitate its return to full compliance with PSX regulations.
