Rafay Farms Faces Regulatory Action for Delayed Financial Filings

Lahore: In a significant regulatory development, MIS. Rafay Farms (Private) Limited has been issued a final order regarding proceedings initiated under the Companies Act, 2017. The proceedings were triggered by the company's failure to file its audited financial statements for the year ended 2023 within the stipulated timeline. The adjudication, which concluded on March 04, 2024, resulted in the imposition of a warning and a condonation of penalty, emphasizing the necessity for future compliance with the law.

The initial proceedings against Rafay Farms and its directors, including the chief executive, began after a Show Cause Notice (SCN) dated February 07, 2024, was issued. The SCN highlighted the company's non-compliance with Section 233 of the Companies Act, 2017, which mandates timely filing of financial statements with the Registrar. Despite multiple opportunities for hearings, the company and its representatives failed to appear initially, leading to further regulatory scrutiny.

According to information available from the Pakistan Stock Exchange (PSX), the company's failure to file the financial statements was attributed to an oversight during a restructuring of its finance and accounts department. An authorized representative, Mr. Usman Ali Khan, eventually appeared to argue the case, citing the restructuring as a reason for the delay. The delayed filing was subsequently confirmed by the Registrar, CR0, Faisalabad.

Section 233 of the Companies Act, 2017, stipulates that financial statements must be filed within thirty days of the annual general meeting for listed companies and within fifteen days for other companies. Any contravention results in penalties, with the severity depending on the company's status as listed or otherwise. The regulatory body, acting through the Adjudication Officer at the Adjudication Department-II in Lahore, emphasized the importance of timely and accurate financial reporting as a cornerstone of corporate governance.

The Commission, while acknowledging the company's eventual compliance during the adjudication proceedings, issued a warning to Rafay Farms. The warning underscores the necessity for the company's directors to exercise due diligence in business decisions and ensure adherence to legal requirements. The decision reflects a balanced approach, aiming to enforce compliance without imposing undue penalties, while also serving as a cautionary tale for other companies in the designated market category.
