Din Textile Mills Limited Announces Extra Ordinary General Meeting for Director Elections


Lahore: Din Textile Mills Limited has scheduled an Extra Ordinary General Meeting (EOGM) on March 11, 2025, at 11:00 a.m. at Din Tower, Plot No. 1, Green Acres, 7 KM, Raiwind Road, Lahore. This meeting is primarily convened for the election of directors, as stated in the notification issued by the company under section 159 of the Companies Act, 2017.



The EOGM will address ordinary business, including the confirmation of minutes from the previous 37th Annual General Meeting held on October 25, 2024. A key agenda item is the election of nine directors to replace the retiring board members for a three-year term, commencing from March 11, 2025, to March 10, 2028. The retiring directors are Shaikh Muhammad Jawed, Shaikh Muhammad Pervez, Shaikh Muhammad Tanveer, Shaikh Mohammad Naveed, Mr. Faisal Jawed, Mr. Farhad Shaikh Mohammad, Mr. Ehtesham Maqbool Elahi, Mr. Ali Farooq, and Mrs. Romisa Raffay.



In compliance with Regulation No. 7A of the Listed Companies (Code of Corporate Governance) Regulation No. 2019, the voting will occur separately for three categories: one female director, three independent directors, and five other directors. The board has set the number of directors at nine for the upcoming term.



According to information available from the Pakistan Stock Exchange (PSX), shareholders are encouraged to submit their notice of intention to contest for directorship at the company’s registered office no less than fourteen days before the meeting. Candidates interested in the independent or female director categories should specify their chosen category.



The notice also stipulates the submission of several documents, including a statement of intention, proof of eligibility, consent to act as a director, and a detailed profile with contact details. It is crucial for candidates to ensure compliance with relevant laws and regulations, such as the Companies Act, 2017, and the Listed Companies (Code of Corporate Governance) Regulations, 2019.



To facilitate participation, the company offers a video conference option for shareholders in Lahore and Karachi, provided at least 10% of shareholders request it seven days before the meeting. Electronic voting and postal ballot options will be available for shareholders to exercise their voting rights, as per the Companies (Postal Ballot) Regulations, 2018.
