Karachi: TPL Properties Limited has disclosed significant transactions involving its Chief Executive Officer, Muhammad Ali Jameel, concerning the acquisition of shares in the company. The transactions, executed in March 2025, were revealed in accordance with the Pakistan Stock Exchange regulations, specifically under clause 5.6.4, which mandates the disclosure of interest by executives and substantial shareholders.

On March 21, 2025, Muhammad Ali Jameel executed a purchase of 6 million shares at a rate of Rs. 11.09 per share. A subsequent transaction on March 24, 2025, saw the acquisition of an additional 4 million shares at a rate of Rs. 11.20 per share. These transactions were carried out under the Central Depository System (CDS) in the ready market category. Following these acquisitions, Jameel's cumulative shareholding in TPL Properties Limited now stands at 60,175,014 shares, representing 10.74% of the company's total shares.

According to information available from the Pakistan Stock Exchange (PSX), these shares were sold by TPL Corp Limited as part of a strategy to raise financing through margin financing against available Unique Identification Number (UIN) limits. This move is intended to provide the company with necessary liquidity, facilitating its operational and strategic initiatives.

The company has confirmed that these transactions will be presented at the upcoming Board meeting for review. The Board will examine them for any non-compliance with regulatory requirements, as stipulated under clause 5.6.4 of the PSX Regulations, ensuring full transparency and adherence to governance standards.
