Karachi: Pakistan International Container Terminal Limited has announced the convening of its 24th Annual General Meeting (AGM), scheduled for May 28, 2025. The meeting will take place at 10:00 a.m. at the Institute of Chartered Accountants of Pakistan (ICAP) in Clifton, Karachi, with an additional option for attendance via video link.
The AGM's agenda includes the confirmation of the minutes from the 23rd AGM held on May 29, 2024, and the review and adoption of the audited financial statements for the year ending December 31, 2024. The meeting will also consider the Directors' Report, Chairman's Review Report, and Auditors' Report.
A key agenda item is the appointment of auditors for the financial year ending December 31, 2025. The Board of Directors has recommended Yousuf Adil, Chartered Accountants, following the necessary evaluations and endorsement by the Audit Committee. This recommendation is set to replace the retiring auditors, EY Ford Rhodes, Chartered Accountants.
Additionally, the AGM will deliberate on the final cash dividend proposal. The Board of Directors has recommended a final cash dividend of Rs. Nil per ordinary share, following an interim cash dividend of Rs. 9.10 per ordinary share paid in 2024. This results in a total cash dividend of Rs. 9.10 per ordinary share for the year ending December 31, 2024.
According to information available from the Pakistan Stock Exchange (PSX), the company's share transfer books will remain closed from May 22, 2025, to May 28, 2025. During this period, no share transfers will be accepted for registration. Transfers received by the close of business on May 21, 2025, at the office of the company's share registrar, CDC Share Registrar Services Limited, will be considered in time for participation in the AGM.
