Shifa International Hospitals Ltd to Acquire Minority Shareholding in Subsidiary

Karachi: Shifa International Hospitals Limited (SIHL) has announced a strategic move to purchase the shareholding of all minority shareholders in its subsidiary, Shifa Medical Centre Islamabad (Private) Limited (SMCI). The decision was made during a Board of Directors meeting held on May 10, 2025, as conveyed to the Pakistan Stock Exchange.

The board approved the proposal to negotiate and execute share purchase agreements and share transfer deeds with all relevant parties, thereby consolidating SMCI into a wholly owned subsidiary of SIHL. This consolidation is expected to simplify the corporate structure by eliminating redundant administrative layers and intercompany relationships.

According to information available from the Pakistan Stock Exchange (PSX), the proposed transaction will facilitate SIHL's eventual merger with SMCI, enhancing its asset base and size. The move is anticipated to allow SIHL to benefit from economies of scale, thereby increasing its operational efficiency. The transaction is also expected to open further business expansion opportunities for SIHL.

The completion of the transaction is contingent upon obtaining all necessary corporate and regulatory authorizations, consents, and approvals.
