Apna Microfinance Bank Limited Elects New Board of Directors in Karachi

Karachi: Apna Microfinance Bank Limited, during its Extra-Ordinary General Meeting (EOGM) held on June 18, 2025, confirmed the election of its Board of Directors for the next three years, as per the resolutions adopted by its shareholders. The meeting, which took place at the bank's registered office in Karachi, followed the compliance requirements under Clause 5.6.9 (b) of the Pakistan Stock Exchange (PSX) Regulations.

The shareholders of Apna Microfinance Bank Limited approved the minutes of the previous Annual General Meeting (AGM) held on March 28, 2025. The confirmation of these minutes was carried out as the first agenda item in the EOGM.

During the meeting, the election of directors was addressed as the second agenda item. Since the number of candidates who consented to contest the election was equal to the number of directors to be elected, a balloting process was deemed unnecessary under section 159(5) of the Companies Act, 2017. Consequently, the following seven individuals were elected unopposed as directors: Mr. Muhammad Akram Shahid, Mr. Imad Mohammad Tahir, Mr. Shahid Hassan, Mr. Mohammad Asghar, Mr. Abdul Aziz Khan, Ms. Sultana Naheed, and Mr. Nazish Ali.

These newly elected directors include both non-executive and independent members, as well as an executive director, ensuring a diverse composition of the board. Their election is subject to approval from the State Bank of Pakistan and the Securities & Exchange Commission of Pakistan.

According to information available from the Pakistan Stock Exchange (PSX), the resolutions passed during the EOGM are in line with the regulatory framework governing corporate governance practices in the country. The election results will be communicated to the TRE Certificate Holders of the Exchange for their records.

This development marks a new chapter for Apna Microfinance Bank Limited, as the bank positions itself for continued growth and compliance with national regulatory standards.
