Karachi: Gul Ahmed Textile Mills Limited has issued a notice for an Extraordinary General Meeting (EOGM) scheduled for March 31, 2026. The meeting will take place at the Moose D. Dessai ICAP Auditorium, Institute of Chartered Accountants of Pakistan, Clifton, Karachi, beginning at 10:30 A.M. The primary agenda is the election of seven directors for a new term of three years starting April 1, 2026.
The Board of Directors has nominated seven retiring directors eligible for re-election: Mr. Mohomed Bashir, Mr. Zain Bashir, Mr. Ziad Bashir, Mr. Mohammed Zaki Bashir, Mr. Ehsan A. Malik, Ms. Zeeba Ansar, and Mr. Kamran Y. Mirza. Any other business permissible at the EOGM may also be transacted with the Chair’s permission.
The share transfer books of the company will be closed from March 24, 2026, to March 31, 2026. Transfers must be completed by March 19, 2026, for eligibility to attend the meeting. Shareholders may attend in person or via a video link through the Zoom application. Those wishing to attend electronically must register with the Company Secretary by email no later than 48 hours before the meeting.
Proxies may be appointed by members to attend, speak, and vote. The proxy must be a member of the company, and the form must be submitted 48 hours before the meeting. For corporate entities, a Board of Directors’ resolution or Power of Attorney must accompany the proxy form.
The election of directors will be conducted in accordance with the Companies Act, 2017, and relevant regulations. Candidates must submit their intention to contest and other required documentation 14 days before the EOGM. Independent directors will be selected per the Companies (Manner and Selection of Independent Directors) Regulations, 2018.
Voting options include e-voting and postal ballot, with e-voting lines open from March 24, 2026, to March 30, 2026. Any disputes in voting will be decided by the Chairman of the meeting.
The company provides a video conference facility in Lahore and Islamabad, subject to sufficient demand. Shareholders must notify the company 10 days before the meeting to avail of this service.
Shareholders are reminded to update their contact details and necessary information, including CNIC and IBAN, to comply with dividend distribution regulations. Those holding physical shares are encouraged to convert them into book-entry form.
An appointment of a scrutinizer, M/s Kreston Nyder Bhimji & Co. Chartered Accountants, has been made to oversee the election process. The Pakistan Stock Exchange’s designated market category includes textile and composite companies.
