Karachi: The Board of Directors of Pakistan International Container Terminal Limited (PICT) has approved a significant transfer of shares, resulting in a change of control of the company. This development was disclosed as part of the company's compliance with Sections 96 and 131 of the Securities Act, 2015, and Clause 5.6.1(a) of the Rule Book of Pakistan Stock Exchange Limited.
The announcement, made on July 21, 2026, details the resolution passed by PICT's Board to permit the transfer of 889,087 shares through a public tender offer and an additional 87,003,949 shares via a Share Purchase Agreement. These transactions were executed between Sea Link Group and ICTSI Limited, based in Bermuda. Consequently, Sea Link Group & Associates, which includes Euroasia Terminals (Pvt.) Limited, has successfully acquired a total of 87,893,036 shares.
According to information available from the Pakistan Stock Exchange (PSX), the acquired shares represent 80.52% of the issued share capital of PICT, effectively granting Sea Link Group & Associates control over the company. The relevant shares have been officially transferred to the name of the acquirer, solidifying their majority stake in the terminal operator.
This acquisition marks a pivotal shift in the ownership structure of PICT, positioning Sea Link Group as a dominant player in Pakistan's container terminal market. With this strategic move, Sea Link Group aims to strengthen its foothold and expand its operational capabilities in the region.
