Karachi: Octopus Digital Limited has issued 959,870 ordinary shares as part of its Employees Share Option Scheme 2022 (ESOS - 2022), according to a certificate released at the request of the company's management. The issuance, announced on July 24, 2026, is aimed at complying with the Standard Operating Procedures of the Central Depository System (CDS) of the Central Depository Company of Pakistan Limited (CDC).
According to the certificate, the company's management is tasked with ensuring full compliance with the necessary requirements for allotting securities under the CDS procedures. This includes maintaining accurate records of share options granted, options exercised, and shares issued, along with identifying and reporting any non-compliance issues. The management is also responsible for setting up systems to prevent and detect any fraud or irregularities related to the share issuance.
The certificate was issued following specific verification procedures conducted by a QCR Rated Practicing Chartered Accountant Firm, in line with guidelines from the Institute of Chartered Accountants of Pakistan (ICAP). The procedures included reviewing the true copy of the ESOS-2022, examining board resolutions authorizing share issuance, verifying receipt of subscription money, and confirming the revised paid-up share capital.
According to information available from the Pakistan Stock Exchange (PSX), the paid-up capital of Octopus Digital Limited before the issuance of these shares stood at 157.26 million shares, with a face value of Rs. 10 each, totaling approximately Rs. 1.57 billion. The issuance of 959,870 additional shares at the same face value has increased the company's paid-up capital to 158.22 million shares, totaling approximately Rs. 1.58 billion.
The certificate confirms that Octopus Digital Limited has met all applicable requirements for the allotment of securities in the name of the Central Depository Company of Pakistan Limited. Additionally, the company has complied with any conditions set by relevant regulatory authorities in connection with this share issuance.
The issuance of this certificate is intended for submission to the Central Depository Company of Pakistan Limited (CDC), the Securities and Exchange Commission of Pakistan (SECP), and the Pakistan Stock Exchange Limited (PSX), as well as for adherence to other regulatory requirements.
