Karachi: EFU General Insurance Ltd disclosed notable share transactions involving its substantial shareholder, Mr. Munir Bhimjee, and his spouse, Mrs. Maliha Munir, as per the regulatory requirements of the Pakistan Stock Exchange (PSX). The transactions were detailed in a report dated August 3, 2026.
The company reported that Mr. Munir Bhimjee, who holds a substantial stake in the company, executed a "Gift-Out" transaction involving 14,682,353 shares. This transaction left him with a cumulative holding of 14,193,865 shares, accounting for 7.09% of the company's shares. Concurrently, Mrs. Maliha Munir received a "Gift-In" of 8,800,000 shares, resulting in a cumulative shareholding of 8,800,000 shares, which represents 4.4% of the company.
According to information available from the Pakistan Stock Exchange (PSX), these transactions are in compliance with the disclosure of interest regulations under clause 5.6.4. EFU General Insurance Ltd confirmed that these transactions would be presented at the company's subsequent board meeting, ensuring transparency and adherence to regulatory requirements.
The company further clarified that the holding period for these transactions exceeds six months. If any transaction falls within a six-month period, any profit would be duly deposited with the Securities and Exchange Commission of Pakistan (SECP) as mandated by Section 105 of the Securities Act, 2015, with due notification to the PSX.
EFU General Insurance Ltd emphasized that no Director, CEO, or Executive engaged in any direct or indirect dealings with the company's shares during the closed period. This disclosure reinforces the company's commitment to regulatory compliance and transparency in its market activities.
