Lahore: Maple Leaf Cement Factory Limited has announced its Annual General Meeting (AGM), scheduled for September 17, 2026, at its registered office on 42-Lawrence Road, Lahore. The meeting, set to commence at 12:30 PM, will review and approve various financial and strategic resolutions for the year ended June 30, 2026.
In preparation for the AGM, the company has disclosed that its share transfer books will be closed from September 11, 2026, to September 17, 2026, to determine the entitlement of shareholders. Share transfers must be completed by September 10, 2026, through M/s. Vision Consulting Limited to be considered timely for this entitlement.
Among the key items on the agenda, shareholders will consider adopting the audited accounts, including consolidated financial statements, and appointing auditors for the financial year ending June 30, 2027. The board has recommended the reappointment of M/s. A. F. Ferguson & Co., Chartered Accountants, subject to shareholder approval.
A significant item under special business involves seeking shareholder consent for a financial resolution authorizing the company to extend loans or advances of up to 2.00 billion Pakistani Rupees to Kohinoor Textile Mills Limited, its holding company. This facility, offered at a markup rate of one percent above the three-month KIBOR or the company's average borrowing cost, is valid for one year starting September 18, 2026. According to information available from the Pakistan Stock Exchange (PSX), this proposal marks a significant financial commitment by the company.
Additionally, the company seeks approval for a similar financial arrangement with Maple Leaf Capital Limited, an associated company, for an equal sum and duration. These resolutions, if passed, will empower the CEO and Company Secretary to execute necessary documentation and comply with statutory requirements.
Shareholders will also ratify transactions with related parties for the financial year ending June 30, 2026, and authorize the Board of Directors to approve transactions with related parties for the subsequent financial year.
The AGM will address these comprehensive agendas, crucial for the company's operational and financial strategy, with outcomes expected to influence its market position significantly.
