LSE SPAC-II Limited Announces Uncontested Director Elections Ahead of AGM

Lahore: LSE Spac - II Limited has announced the uncontested election of six directors for the upcoming Annual General Meeting (AGM) scheduled for September 19, 2026. This announcement follows the company's earlier notice on August 29, 2026, regarding the AGM.

According to the notice published in daily Business Recorder and Roz Nama-e-Asas on September 12, 2026, the election features six candidates who have filed their respective notices of intention to offer themselves for the election of directors by the deadline of September 05, 2026. The candidates are divided into two categories: Shareholders and Independent. The Shareholders Category includes Syeda Noor ul Ain Ali, Ms. Qurat ul Ain Ali, Mr. Iqrar Shabbir, Mr. Aoun Muhammad, and Mr. Zia Ullah. The Independent Category includes Ms. Arooj Tariq and Syed Haider Mujtaba.

The election process, as stipulated under Section 159(1) of the Companies Act, 2017, allows for the automatic election of all six candidates since the number of candidates does not exceed the number of director positions fixed by the Board of Directors. Consequently, these individuals will serve as directors for a three-year term following the AGM.

Additionally, the Chief Executive Officer or Executive Director will be appointed by the newly elected Board after the election, also for a term of three years under a contractual agreement.

According to information available from the Pakistan Stock Exchange (PSX), the company has also ensured compliance with Regulation 8 of the Companies (Postal Ballot) Regulations, 2018. The Postal Ballot for special resolutions has been made available on the company's website, complete with a downloadable link and QR code for ease of access.

The company has urged TRE Certificate Holders of the Exchange to be informed of these developments.
