National Foods Limited Announces Share Subdivision and AGM Details

Karachi: National Foods Limited has announced a significant restructuring of its share capital, following a board meeting held on September 18, 2026. The company has decided to subdivide its existing ordinary shares, a move that is expected to impact its shareholders directly.

According to the disclosure, each current ordinary share of Rs. 5 will be subdivided into five ordinary shares of Rs. 1, without altering the total paid-up share capital. This strategic decision aligns with the company’s objective to enhance share liquidity and expand its investor base.

The company, currently with a subscribed and paid-up capital composed of 233,115,425 ordinary shares of Rs. 5 each, will transition to 1,165,577,125 ordinary shares of Rs. 1 each. The existing shareholders will be entitled to receive five new shares for each share held, once the necessary approvals are obtained as per the Companies Act, 2017.

Furthermore, amendments to the Memorandum and Articles of Association will be made to reflect these changes. The company has scheduled its 55th Annual General Meeting (AGM) on October 26, 2026, at the Beach Luxury Hotel in Karachi. The meeting will seek shareholders’ approval for the proposed subdivision and related amendments.

According to information available from the Pakistan Stock Exchange (PSX), this move by National Foods Limited is in compliance with Sections 96 and 131 of the Securities Act, 2015, and the relevant clauses of the Rule Book of the PSX. This strategic restructuring does not affect the overall subscribed and paid-up share capital of the company.
