Nimir Industrial Chemicals Limited Announces 33rd Annual General Meeting

Sheikhupura: Nimir Industrial Chemicals Limited (NICL) has officially announced that its 33rd Annual General Meeting (AGM) will take place on Wednesday, October 14, 2026, at 11:00 a.m. The meeting is scheduled to be held at Sultan Grand Hotel, Lahore - Faisalabad By-pass, near Housing Colony, Sheikhupura.

The notice for the AGM will be published in the Daily Times and daily Asas on Thursday, September 24, 2026, and will be available nationwide. The meeting aims to address several critical pieces of business, including the adoption of the Audited Financial Statements for the fiscal year ending June 30, 2026, along with the Chairman's review, Directors' reports, Statement of Compliance (CCG), and Independent Auditors' reports.

One of the key agenda items involves the approval of a final cash dividend of Rs. 2.0 per share, in addition to an interim dividend of Rs. 4.0 per share, amounting to a total cash dividend of Rs. 6.0 per share. This represents a 60% cash dividend for the year concluded on June 30, 2026. The company will also appoint auditors for the fiscal year ending June 30, 2027, with the Audit Committee and Board of Directors recommending M/s BDO Ebrahim & Co. - Chartered Accountants for the role.

Additionally, corporate shareholders are expected to nominate representatives to attend the AGM, with the necessary nominations to be submitted at least 48 hours before the meeting. Individuals who are beneficial owners of the Central Depository Company of Pakistan Limited (CDC) must present proper identification for attendance and voting.

The company has urged shareholders to submit copies of their valid Computerized National Identity Card (CNIC) promptly, in line with the Securities and Exchange Commission of Pakistan's (SECP) notification, SRO 779(1)/2011. Failure to comply may result in the withholding of future dividends.

According to information available from the Pakistan Stock Exchange (PSX), NICL shareholders who are filers of Income Tax Returns will face a 15% deduction rate, while non-filers will incur a 30% deduction rate. Shareholders holding at least 10% of the total paid-up capital residing in other cities can request a video conference facility for the AGM by notifying the Shares Registrar at least seven days ahead of the meeting.

The company has emphasized the importance of keeping shareholder information up to date, particularly concerning addresses, to ensure the smooth processing of shares and dividends.
