iTanz Technologies Limited Announces Plans for 2026 Annual General Meeting in Lahore

Lahore: iTanz Technologies Limited has scheduled its Annual General Meeting (AGM) for October 24, 2026, to be conducted at Noor Jahan Banquet Hall in Lahore. This meeting, essential for all company stakeholders, will commence at 11:00 A.M., allowing members to engage both in-person and via a video-link conferencing facility.

In compliance with the Companies Act, 2017, the meeting's agenda includes the confirmation of the minutes from the last Extraordinary General Meeting held on July 31, 2026. Additionally, the company will present its Annual Audited Financial Statements for the year ending June 30, 2026, alongside the Directors' and Auditors' Reports.

According to information available from the Pakistan Stock Exchange (PSX), shareholders will also review and note a total distribution of 20% for the year, which includes a 10% interim cash dividend and a 10% bonus share issuance. The board has proposed the reappointment of M/s Alam and Aulakh, Chartered Accountants, as auditors for the fiscal year ending June 30, 2027, pending shareholder approval.

Among the special business items, a significant proposal involves a stock split, reducing the nominal value of each share from Rs. 10 to Rs. 1, effectively creating ten shares for every existing one without altering the overall capital structure. Amendments to the company's Articles of Association regarding directors' fees and compliance updates with the Companies Act, 2017, are also slated for discussion.

The Share Transfer Books will be closed from October 18 to October 24, and transfers completed by October 16 will be recognized in time for entitlements. Members are encouraged to participate in voting on special business matters through postal ballot or e-voting, as physical ballots will not be accepted for these items during the AGM.
